Buyer Portal & Sourcing Terms
These Terms govern European buyer access to the Impera Europe Match Connect portal and the submission of sourcing requests. They are intentionally designed as a concise B2B sourcing framework and do not replace any final contract between a buyer and a selected supplier.
1. Role of Impera Europe
Impera Europe operates Match Connect as a B2B sourcing, preliminary supplier-screening and coordination service. Impera Europe is not the manufacturer, seller, buyer or contractual guarantor of a supplier or buyer.
2. Buyer access and fees
Buyer portal access and submission of sourcing requests are currently free of charge unless a separate service or fee is expressly agreed in writing.
3. Authority and accuracy
The buyer confirms that the registration, project and RFQ information it provides is materially accurate and that it is authorized to submit and share the information, drawings, models, specifications and other documents it uploads for sourcing and technical or commercial evaluation.
4. Controlled confidentiality and disclosure
Buyer project information is not public marketplace content. Impera Europe may review it and disclose only information reasonably necessary for sourcing, quotation, supplier qualification or technical evaluation to shortlisted or otherwise specifically authorized suppliers under the portal's controlled confidentiality process.
5. Documents and intellectual property
Ownership and intellectual-property rights in buyer-provided documents remain with the buyer or the relevant rights-holder. The buyer grants Impera Europe only the limited, non-exclusive permission needed to process, review, reproduce and disclose those materials for the sourcing and coordination purposes described in these Terms.
6. No purchase obligation
Submitting an RFQ, receiving a supplier quotation, participating in a shortlist or using the portal does not create an obligation to purchase, award or contract. A supplier quotation does not by itself constitute a binding purchase order.
7. Buyer-supplier contract and supplier performance
Any final purchase order, supply, fabrication or other project contract, including price, payment, delivery, inspection, acceptance, warranty and performance obligations, is agreed separately between the buyer and the selected supplier unless expressly agreed otherwise in writing. Impera Europe screening or coordination does not guarantee supplier performance or project suitability.
8. Process integrity and suspension
The buyer must not misuse protected supplier identities, confidential project information, portal access controls or security features. Impera Europe may reject, pause, limit, suspend or close access to incomplete, unsuitable, unlawful, abusive, misleading or non-actionable requests or misuse of the portal.
9. Responsibility boundaries
Impera Europe does not assume the supplier's manufacturing, delivery, solvency, warranty or other contractual performance obligations. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
10. Privacy, account closure and updates
Personal data is handled under the Impera Europe Privacy Policy. The buyer may stop using the portal or request account closure, subject to retention of records reasonably required for legal, contractual, audit, security or dispute-resolution purposes. Material changes to these Terms are versioned and may require a new acceptance before further portal use.

Le presenti Condizioni disciplinano l'accesso dei buyer europei al portale Impera Europe Match Connect e l'invio di richieste di sourcing. Sono concepite come un quadro B2B conciso e non sostituiscono il contratto finale tra il buyer e il fornitore selezionato.
1. Ruolo di Impera Europe
Impera Europe gestisce Match Connect come servizio B2B di sourcing, pre-valutazione dei fornitori e coordinamento. Impera Europe non è il produttore, il venditore, l'acquirente né il garante contrattuale del fornitore o del buyer.
2. Accesso del buyer e costi
L'accesso del buyer al portale e l'invio di richieste di sourcing sono attualmente gratuiti, salvo che un servizio o un corrispettivo diverso sia espressamente concordato per iscritto.
3. Autorizzazione e correttezza delle informazioni
Il buyer conferma che le informazioni di registrazione, di progetto e RFQ fornite sono sostanzialmente corrette e che è autorizzato a trasmettere e condividere informazioni, disegni, modelli, specifiche e altri documenti caricati ai fini del sourcing e della valutazione tecnica o commerciale.
4. Riservatezza e divulgazione controllata
Le informazioni di progetto del buyer non sono contenuti pubblici di un marketplace. Impera Europe può esaminarle e comunicare esclusivamente le informazioni ragionevolmente necessarie per sourcing, quotazione, qualificazione del fornitore o valutazione tecnica ai fornitori inseriti in shortlist o specificamente autorizzati, nell'ambito del processo di riservatezza controllata del portale.
5. Documenti e proprietà intellettuale
La proprietà e i diritti di proprietà intellettuale sui documenti forniti dal buyer restano in capo al buyer o al relativo titolare dei diritti. Il buyer concede a Impera Europe esclusivamente l'autorizzazione limitata e non esclusiva necessaria per trattare, esaminare, riprodurre e comunicare tali materiali per le finalità di sourcing e coordinamento descritte nelle presenti Condizioni.
6. Nessun obbligo di acquisto
L'invio di una RFQ, la ricezione di un'offerta, la partecipazione a una shortlist o l'utilizzo del portale non comportano alcun obbligo di acquisto, aggiudicazione o stipula. L'offerta di un fornitore non costituisce di per sé un ordine di acquisto vincolante.
7. Contratto buyer-fornitore e prestazioni del fornitore
Qualsiasi ordine di acquisto, contratto di fornitura, fabbricazione o altro contratto di progetto, inclusi prezzo, pagamento, consegna, ispezione, accettazione, garanzia e obblighi di prestazione, viene concordato separatamente tra buyer e fornitore selezionato, salvo diverso accordo scritto. La pre-valutazione o il coordinamento di Impera Europe non costituiscono garanzia delle prestazioni del fornitore o dell'idoneità al progetto.
8. Integrità del processo e sospensione
Il buyer non deve utilizzare impropriamente identità protette dei fornitori, informazioni di progetto riservate, controlli di accesso o funzioni di sicurezza del portale. Impera Europe può rifiutare, sospendere, limitare o chiudere richieste incomplete, non idonee, illecite, abusive, fuorvianti o non operative, nonché l'accesso in caso di uso improprio del portale.
9. Limiti delle responsabilità operative
Impera Europe non assume gli obblighi del fornitore relativi a produzione, consegna, solvibilità, garanzia o altre prestazioni contrattuali. Nulla nelle presenti Condizioni esclude o limita responsabilità nella misura in cui tale esclusione o limitazione sia vietata dalla legge applicabile.
10. Privacy, chiusura dell'account e aggiornamenti
I dati personali sono trattati secondo l'Informativa sulla privacy di Impera Europe. Il buyer può cessare l'utilizzo del portale o richiedere la chiusura dell'account, fermo restando il mantenimento dei dati ragionevolmente necessario per finalità legali, contrattuali, di audit, sicurezza o gestione delle controversie. Le modifiche sostanziali alle Condizioni sono versionate e possono richiedere una nuova accettazione prima di ulteriori utilizzi.

Diese Bedingungen regeln den Zugang europäischer Einkäufer zum Impera Europe Match Connect Portal und die Übermittlung von Beschaffungsanfragen. Sie sind bewusst als kompakter B2B-Beschaffungsrahmen ausgestaltet und ersetzen keinen endgültigen Vertrag zwischen einem Einkäufer und einem ausgewählten Lieferanten.
1. Rolle von Impera Europe
Impera Europe betreibt Match Connect als B2B-Dienstleistung für Beschaffung, vorläufige Lieferantenprüfung und Koordination. Impera Europe ist weder Hersteller, Verkäufer oder Käufer noch vertraglicher Garant eines Lieferanten oder Einkäufers.
2. Zugang und Gebühren
Der Zugang des Einkäufers zum Portal und die Übermittlung von Beschaffungsanfragen sind derzeit kostenlos, sofern nicht eine gesonderte Dienstleistung oder Gebühr ausdrücklich schriftlich vereinbart wurde.
3. Berechtigung und Richtigkeit
Der Einkäufer bestätigt, dass die von ihm bereitgestellten Registrierungs-, Projekt- und RFQ-Informationen im Wesentlichen richtig sind und dass er berechtigt ist, die von ihm hochgeladenen Informationen, Zeichnungen, Modelle, Spezifikationen und sonstigen Unterlagen für Beschaffungszwecke sowie für technische oder kaufmännische Bewertungen zu übermitteln und weiterzugeben.
4. Kontrollierte Vertraulichkeit und Weitergabe
Projektinformationen des Einkäufers sind keine öffentlich zugänglichen Marketplace-Inhalte. Impera Europe darf diese Informationen prüfen und nur diejenigen Informationen an Lieferanten auf einer Shortlist oder an anderweitig ausdrücklich autorisierte Lieferanten weitergeben, die für Beschaffung, Angebotserstellung, Lieferantenqualifizierung oder technische Bewertung vernünftigerweise erforderlich sind, und zwar im Rahmen des kontrollierten Vertraulichkeitsprozesses des Portals.
5. Dokumente und geistiges Eigentum
Eigentums- und Schutzrechte an vom Einkäufer bereitgestellten Unterlagen verbleiben beim Einkäufer oder dem jeweiligen Rechteinhaber. Der Einkäufer gewährt Impera Europe ausschließlich die beschränkte, nicht ausschließliche Erlaubnis, die erforderlich ist, um diese Materialien für die in diesen Bedingungen beschriebenen Beschaffungs- und Koordinationszwecke zu verarbeiten, zu prüfen, zu vervielfältigen und weiterzugeben.
6. Keine Kaufverpflichtung
Die Übermittlung einer RFQ, der Erhalt eines Lieferantenangebots, die Teilnahme an einer Shortlist oder die Nutzung des Portals begründen keine Verpflichtung zum Kauf, zur Vergabe oder zum Vertragsabschluss. Ein Lieferantenangebot stellt für sich allein keine verbindliche Bestellung dar.
7. Vertrag zwischen Einkäufer und Lieferant sowie Lieferantenleistung
Jede endgültige Bestellung, Lieferung, Fertigung oder sonstige Projektvereinbarung einschließlich Preis, Zahlung, Lieferung, Inspektion, Abnahme, Gewährleistung und Leistungspflichten wird gesondert zwischen dem Einkäufer und dem ausgewählten Lieferanten vereinbart, sofern nicht ausdrücklich schriftlich etwas anderes vereinbart wurde. Die Prüfung oder Koordination durch Impera Europe garantiert weder die Leistung des Lieferanten noch dessen Eignung für das Projekt.
8. Prozessintegrität und Sperrung
Der Einkäufer darf geschützte Lieferantenidentitäten, vertrauliche Projektinformationen, Portalzugangskontrollen oder Sicherheitsfunktionen nicht missbräuchlich verwenden. Impera Europe kann unvollständige, ungeeignete, rechtswidrige, missbräuchliche, irreführende oder nicht umsetzbare Anfragen ablehnen, pausieren, beschränken oder schließen sowie den Zugang bei missbräuchlicher Nutzung des Portals aussetzen oder beenden.
9. Verantwortungsgrenzen
Impera Europe übernimmt keine Herstellungs-, Liefer-, Bonitäts-, Gewährleistungs- oder sonstigen vertraglichen Leistungspflichten des Lieferanten. Nichts in diesen Bedingungen schließt eine Haftung aus oder beschränkt sie, soweit ein solcher Ausschluss oder eine solche Beschränkung nach anwendbarem Recht unzulässig ist.
10. Datenschutz, Kontoschließung und Änderungen
Personenbezogene Daten werden gemäß der Datenschutzrichtlinie von Impera Europe verarbeitet. Der Einkäufer kann die Nutzung des Portals beenden oder die Schließung seines Kontos verlangen; davon unberührt bleibt die Aufbewahrung von Unterlagen, soweit dies vernünftigerweise für rechtliche, vertragliche, Audit-, Sicherheits- oder Streitbeilegungszwecke erforderlich ist. Wesentliche Änderungen dieser Bedingungen werden versioniert und können vor einer weiteren Nutzung des Portals eine erneute Zustimmung erfordern.

Les présentes Conditions régissent l’accès des acheteurs européens au portail Impera Europe Match Connect et l’envoi de demandes de sourcing. Elles constituent volontairement un cadre B2B concis et ne remplacent aucun contrat final entre un acheteur et un fournisseur sélectionné.
1. Rôle d’Impera Europe
Impera Europe exploite Match Connect comme un service B2B de sourcing, de présélection des fournisseurs et de coordination. Impera Europe n’est ni le fabricant, ni le vendeur, ni l’acheteur, ni le garant contractuel d’un fournisseur ou d’un acheteur.
2. Accès de l’acheteur et frais
L’accès de l’acheteur au portail et l’envoi de demandes de sourcing sont actuellement gratuits, sauf si un service ou des frais distincts sont expressément convenus par écrit.
3. Autorisation et exactitude des informations
L’acheteur confirme que les informations d’inscription, de projet et de RFQ qu’il fournit sont substantiellement exactes et qu’il est autorisé à transmettre et partager les informations, plans, modèles, spécifications et autres documents qu’il téléverse à des fins de sourcing et d’évaluation technique ou commerciale.
4. Confidentialité et divulgation contrôlées
Les informations de projet de l’acheteur ne constituent pas un contenu public de marketplace. Impera Europe peut les examiner et ne divulguer que les informations raisonnablement nécessaires au sourcing, à l’établissement d’une offre, à la qualification des fournisseurs ou à l’évaluation technique aux fournisseurs présélectionnés ou autrement spécifiquement autorisés dans le cadre du processus de confidentialité contrôlée du portail.
5. Documents et propriété intellectuelle
La propriété et les droits de propriété intellectuelle relatifs aux documents fournis par l’acheteur restent acquis à l’acheteur ou au titulaire des droits concerné. L’acheteur accorde à Impera Europe uniquement l’autorisation limitée et non exclusive nécessaire pour traiter, examiner, reproduire et divulguer ces éléments aux fins de sourcing et de coordination décrites dans les présentes Conditions.
6. Absence d’obligation d’achat
L’envoi d’une RFQ, la réception d’une offre fournisseur, la participation à une shortlist ou l’utilisation du portail ne crée aucune obligation d’achat, d’attribution ou de conclusion d’un contrat. Une offre fournisseur ne constitue pas, à elle seule, un bon de commande contraignant.
7. Contrat acheteur-fournisseur et performance du fournisseur
Tout bon de commande final, contrat de fourniture, de fabrication ou autre contrat de projet, y compris les prix, paiements, livraisons, inspections, acceptations, garanties et obligations de performance, est convenu séparément entre l’acheteur et le fournisseur sélectionné, sauf accord écrit exprès contraire. La présélection ou la coordination effectuée par Impera Europe ne garantit ni la performance du fournisseur ni son adéquation au projet.
8. Intégrité du processus et suspension
L’acheteur ne doit pas utiliser abusivement les identités protégées des fournisseurs, les informations confidentielles de projet, les contrôles d’accès au portail ou les fonctions de sécurité. Impera Europe peut refuser, mettre en pause, limiter, suspendre ou fermer les demandes incomplètes, inadaptées, illégales, abusives, trompeuses ou non exploitables, ainsi que l’accès en cas d’utilisation abusive du portail.
9. Limites de responsabilité
Impera Europe n’assume aucune obligation du fournisseur relative à la fabrication, la livraison, la solvabilité, la garantie ou toute autre performance contractuelle. Aucune disposition des présentes Conditions n’exclut ni ne limite une responsabilité dans la mesure où une telle exclusion ou limitation est interdite par la loi applicable.
10. Confidentialité des données, fermeture du compte et mises à jour
Les données personnelles sont traitées conformément à la Politique de confidentialité d’Impera Europe. L’acheteur peut cesser d’utiliser le portail ou demander la fermeture de son compte, sous réserve de la conservation des dossiers raisonnablement nécessaires à des fins juridiques, contractuelles, d’audit, de sécurité ou de résolution de litiges. Les modifications substantielles des présentes Conditions sont versionnées et peuvent nécessiter une nouvelle acceptation avant toute utilisation ultérieure du portail.

Bu Koşullar, Avrupalı alıcıların Impera Europe Match Connect portalına erişimini ve tedarik taleplerini göndermesini düzenler. Bilinçli olarak kısa bir B2B tedarik çerçevesi şeklinde hazırlanmıştır ve alıcı ile seçilen tedarikçi arasındaki nihai sözleşmenin yerine geçmez.
1. Impera Europe'un rolü
Impera Europe, Match Connect'i B2B tedarik, tedarikçi ön değerlendirme ve koordinasyon hizmeti olarak işletir. Impera Europe üretici, satıcı, alıcı veya alıcı ya da tedarikçinin sözleşmesel garantörü değildir.
2. Alıcı erişimi ve ücret
Alıcının portal erişimi ve tedarik talebi göndermesi, ayrıca bir hizmet veya ücret yazılı olarak açıkça kararlaştırılmadıkça, mevcut durumda ücretsizdir.
3. Yetki ve bilgilerin doğruluğu

4. Kontrollü gizlilik ve paylaşım
Alıcı proje bilgileri açık pazar yeri içeriği değildir. Impera Europe bu bilgileri inceleyebilir ve yalnızca tedarik, teklif, tedarikçi niteliklendirme veya teknik değerlendirme için makul ölçüde gerekli bilgileri, portalın kontrollü gizlilik süreci kapsamında kısa listeye alınmış veya özel olarak yetkilendirilmiş tedarikçilerle paylaşabilir.
5. Belgeler ve fikri mülkiyet
Alıcı tarafından sağlanan belgelerin mülkiyet ve fikri mülkiyet hakları alıcıda veya ilgili hak sahibinde kalır. Alıcı, Impera Europe'a yalnızca bu Koşullarda açıklanan tedarik ve koordinasyon amaçları için bu materyalleri işlemek, incelemek, çoğaltmak ve paylaşmak amacıyla gerekli sınırlı ve münhasır olmayan izni verir.
6. Satın alma yükümlülüğü yoktur
RFQ göndermek, tedarikçi teklifi almak, kısa listeye katılmak veya portalı kullanmak; satın alma, iş verme veya sözleşme yapma yükümlülüğü doğurmaz. Tedarikçi teklifi tek başına bağlayıcı bir satın alma siparişi oluşturmaz.
7. Alıcı-tedarikçi sözleşmesi ve tedarikçi performansı
Fiyat, ödeme, teslimat, muayene, kabul, garanti ve performans yükümlülükleri dahil her türlü nihai satın alma siparişi, tedarik, imalat veya diğer proje sözleşmesi, yazılı olarak açıkça aksi kararlaştırılmadıkça, alıcı ile seçilen tedarikçi arasında ayrıca kararlaştırılır. Impera Europe'un ön değerlendirme veya koordinasyonu tedarikçi performansını ya da projeye uygunluğu garanti etmez.
8. Süreç bütünlüğü ve askıya alma
Alıcı; korunan tedarikçi kimliklerini, gizli proje bilgilerini, portal erişim kontrollerini veya güvenlik özelliklerini kötüye kullanmamalıdır. Impera Europe eksik, uygunsuz, hukuka aykırı, kötüye kullanım içeren, yanıltıcı veya işleme alınabilir olmayan talepleri reddedebilir, duraklatabilir, sınırlayabilir, askıya alabilir veya kapatabilir ve portalın kötüye kullanılması halinde erişimi sınırlandırabilir.
9. Sorumluluk sınırları
Impera Europe tedarikçinin imalat, teslimat, ödeme gücü, garanti veya diğer sözleşmesel performans yükümlülüklerini üstlenmez. Bu Koşullardaki hiçbir hüküm, yürürlükteki hukuk uyarınca hariç tutulması veya sınırlandırılması yasak olan sorumluluğu hariç tutmaz veya sınırlandırmaz.
10. Gizlilik, hesap kapatma ve güncellemeler
Kişisel veriler Impera Europe Gizlilik Politikası kapsamında işlenir. Alıcı portalı kullanmayı bırakabilir veya hesabının kapatılmasını talep edebilir; ancak hukuki, sözleşmesel, denetim, güvenlik veya uyuşmazlık çözümü amaçları için makul ölçüde gerekli kayıtlar saklanabilir. Koşullardaki önemli değişiklikler versiyonlanır ve portalın daha fazla kullanımı öncesinde yeniden onay gerektirebilir.
